TaalBaaz – Terms of Use

Welcome to TaalBaaz, a mobile rhythm and percussion practice application owned and operated by Veera Verticals LLC, a Texas limited liability company.

By downloading, installing, accessing, or using the TaalBaaz mobile application (the “App”) or any related services, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree, you must not use the App.

These Terms form a binding agreement between you and Veera Verticals LLC

1. Eligibility

You must be at least 13 years old to use the App. If you are under 18, you may use the App only with the permission and supervision of a parent or legal guardian.

2. License Grant

Subject to your compliance with these Terms, Veera Verticals LLC grants you a limited, revocable, non-exclusive, non-transferable license to:

• Download and use the TaalBaaz App; and
• Access and play the rhythm styles, and sound content made available through the App (collectively, the “Content”) for your personal, non-commercial practice and enjoyment only.

You do not acquire any ownership, rights, or interest in the App or Content. All rights not expressly granted are reserved by Veera Verticals LLC.

3. Styles & Content Usage Rules

All styles, rhythms, sounds, and audio contained in TaalBaaz are the exclusive intellectual property of Veera Verticals LLC.

You may:

• Use the styles strictly inside the App for practice and playback;
• Practice music, dance, singing, or drumming over the styles;
• Record yourself performing with the style in the background of a live recording; and
• Post such performance videos to social media platforms (including YouTube, Instagram, TikTok, Reels, Shorts, etc.) only if you provide proper attribution as described below.

Required Attribution for Social Media

If a TaalBaaz style is audible in your publicly shared video, you must include the following attribution in the video caption or description:

“Background rhythm from the TaalBaaz app — https://taalbaaz.com”

4. Prohibited Uses

You may NOT, under any circumstances:

• Download, copy, extract, or save styles or decrypted audio from the App;
• Export audio from the App by any method (including internal routing or file extraction);
• Use styles in music production, albums, singles, remixes, beats, DJ sets, background scores, soundtracks, movies, short films, or any other commercial or public release;
• Upload styles or recordings of styles as standalone audio to YouTube, streaming platforms, or similar services;
• Sell, sublicense, license, distribute, or share the styles or any extracted audio;
• Use TaalBaaz styles to train AI or machine learning models;
• Remove, bypass, modify, or interfere with encryption, digital signatures, watermarking, or other security mechanisms used to protect the Content;
• Reverse-engineer, decompile, or attempt to access decrypted audio directly from device memory;
• Use the App or Content for any illegal, abusive, or infringing purposes.

Any such violation may result in immediate termination of your license and may expose you to civil and/or criminal liability.

5. Digital Rights Management, Encryption & Digital Signing

All TaalBaaz styles (audio assets) are protected using industry-standard encryption and digital signing mechanisms designed to prevent piracy and tampering.

• Styles remain encrypted at all times on device storage;
• Decryption occurs only in device memory for real-time playback;
• Audio assets may be digitally signed or watermarked so that unauthorized copies, tampering, or redistribution can be detected;
• The App does not store decrypted audio on disk in a way that is intended to be accessible outside of normal App use.

Any attempt to circumvent, disable, or interfere with encryption, signatures, or other security technologies used by TaalBaaz is strictly prohibited and constitutes a breach of these Terms. Veera Verticals LLC reserves all rights under applicable anti-circumvention and copyright laws.

6. Purchases, Subscriptions & In-App Products

TaalBaaz may offer paid features such as subscriptions (for example, monthly or yearly “Pro” access) and one-time style packs (“In-App Products”).

• All purchases are processed by the Apple App Store or Google Play Store;
• Veera Verticals LLC does not store or process your payment card information;
• Refunds, if any, must be requested through the App Store or Google Play Store in accordance with their policies. Veera Verticals LLC cannot issue refunds directly.

Auto-Renewing Subscriptions

If you purchase a subscription, it will automatically renew at the end of each billing period unless canceled at least 24 hours before renewal. You can manage and cancel subscriptions through your App Store or Google Play account settings.

Access & Entitlements

Your access to subscriptions and one-time packs may be revoked if:

• You request or receive a refund for the purchase;
• Your payment fails or is reversed;
• Fraudulent or suspicious activity is detected; or
• You materially violate these Terms.

Regional Availability & Pricing

The App’s offerings and pricing may vary by region. In some countries, only subscription products may be available; in others, both subscriptions and one-time style packs may be offered. App Store and Google Play may also adjust prices to local currencies and taxes.

Veera Verticals LLC reserves the right to modify, suspend, or discontinue any subscription or pack offering at any time.

7. No User Accounts

TaalBaaz does not require you to create a separate in-app user account. Purchases and subscriptions are tied to your Apple ID or Google account. You are responsible for maintaining the security of your device and store account.

8. Intellectual Property Rights

The App, Content, styles, audio assets, code, user interface, graphics, logos, and all related materials are owned by Veera Verticals LLC and are protected by copyright, trademark, and other intellectual property laws.

“TaalBaaz” and associated logos and branding are trademarks or service marks of Veera Verticals LLC. You may not use them without our prior written consent.

9. DMCA Notice & Copyright Policy

If you believe that any content within the App infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (“DMCA”) to:

Your notice must comply with the requirements of 17 U.S.C. §512. We may remove or disable access to allegedly infringing content and may, where appropriate, terminate use by repeat infringers.

10. Third-Party Services

The App may include links to or integrations with third-party services. Veera Verticals LLC is not responsible for the content, policies, or practices of third parties. Your use of such services is at your own risk and subject to their terms and policies.

11. Termination

We may suspend or terminate your access to the App or Content at any time, with or without notice, if:

• You violate these Terms;
• You attempt to circumvent DRM, encryption, or digital signatures;
• You misuse or redistribute styles; or
• We are required to do so by law or for security reasons.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must cease all use of the App and Content.

12. Disclaimers

The App and Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that:

• The App will be error-free, secure, or uninterrupted;
• Defects will be corrected;
• The App will be compatible with every device or OS version; or
• DRM, encryption, or security will prevent all unauthorized access or copying.

13. Limitation of Liability

To the fullest extent permitted by law, Veera Verticals LLC and its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or relating to your use of the App or Content.

In no event shall our total liability to you exceed the amount you paid to us for access to the App or Content in the twelve (12) months preceding the event giving rise to the claim.

14. Dispute Resolution, Arbitration & Governing Law

14.1 Mandatory Pre-Legal Contact

Before initiating arbitration or any other legal action, you agree to first send written notice of your dispute to:

We will attempt in good faith to resolve the dispute within 30 days after receiving your notice.

14.2 Binding Arbitration

If we are unable to resolve the dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or your use of the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Collin County, Texas, in the English language.

You and Veera Verticals LLC agree to waive any right to a trial by jury.

14.3 Court Jurisdiction

If, for any reason, a dispute is not subject to arbitration, you agree that it shall be brought exclusively in the state or federal courts located in Collin County, Texas. You consent to the personal jurisdiction of such courts.

These Terms and any dispute shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.

15. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the App after any changes indicates your acceptance of the updated Terms.
